Terms of Service

1. Acceptance of Terms

By accessing or using the Homecare Pro platform (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an agency or other organization (a “Customer”), you represent that you have authority to bind that Customer to these Terms as applicable to your use.

2. Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting within the Service or updating the “Last Updated” date). Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.

3. Eligibility and Accounts

You must be at least 18 years old to use the Service.

Account responsibility. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or suspected security incident involving your account.

Customer administration. If you use the Service through a Customer (for example, an agency that invited you), Customer administrators may have the ability to manage your access and certain settings within the Service.

4. The Service and Important Disclaimers

Homecare Pro provides software tools to support caregiver onboarding, credential tracking, and related workflow and compliance operations.

No legal/compliance guarantee. The Service does not provide legal advice and does not guarantee compliance with any law or regulation. You and/or the Customer are responsible for compliance decisions and requirements.

Not an employment or recruiting service. Homecare Pro does not help agencies discover caregivers or promote caregiver profiles to agencies. The Service is not a job board and does not act as an employment agency.

5. Customer Relationship; Payment and Refund

Fees are paid by Customers. Customers (e.g., agencies) pay fees for the Service under a separate service agreement and/or order form with Homecare Pro. Individual users are not charged for access unless explicitly stated at the time of purchase or use.

Refunds and billing disputes. Billing questions or disputes should be directed to info@homecarepro.io. Customer refunds (if any) are governed by the applicable Customer agreement.

6. User Content; Permissions; Caregiver-Directed Sharing

User Content. The Service may allow you to submit information, documents, and other content (“User Content”). You retain any rights you have in your User Content, subject to the licenses and permissions you grant in these Terms.

License to operate the Service. You grant Homecare Pro a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content only as necessary to operate, secure, and improve the Service and as described in the Privacy Policy.

Your responsibility for User Content. You represent and warrant that:

  • you have the rights and permissions needed to provide your User Content to the Service; and
  • your User Content and your use of the Service do not violate applicable laws or infringe the rights of any third party.

Caregiver-Directed Sharing

If you are a caregiver user, you may be able to choose to share certain information and/or documents from your account with another agency that you designate through the Service (“Caregiver-Directed Sharing”).

  • You control what you share. You decide whether to share and which information/documents to share.
  • Sharing is initiated by you. Homecare Pro does not help agencies discover caregivers or promote caregiver information to agencies.
  • Receiving agency’s use. When you direct us to share information with a receiving agency, that agency may store and use it for its own onboarding, credentialing, compliance, employment, and related administrative purposes under its own policies and legal obligations.
  • No responsibility for receiving agency practices. Homecare Pro is not responsible for the privacy, security, or handling practices of the receiving agency.
  • Stopping future sharing. If available, you may stop future sharing within the Service or by contacting us. Stopping sharing prevents future transmissions or updates through the Service, but it does not require a receiving agency to delete information it has already received.

7. Acceptable Use

You agree not to misuse the Service. You will not (and will not attempt to):

  • access or use the Service in violation of law or regulation;
  • upload malware, interfere with the Service, or attempt to bypass security features;
  • access another user’s account or data without authorization;
  • scrape, harvest, or collect information from the Service at scale (except as permitted by the Customer agreement or within normal Service functionality);
  • reverse engineer or attempt to discover source code or underlying components (except to the extent such restriction is prohibited by law).

8. Intellectual Property

Homecare Pro and its licensors retain all rights, title, and interest in and to the Service, including all software, designs, text, graphics, and other content provided by Homecare Pro, and all related intellectual property rights.

Except for the limited rights expressly granted to you in these Terms, no rights are granted to you.

9. Termination and Suspension

We may suspend or terminate your access to the Service:

  • if we reasonably believe you have violated these Terms;
  • to protect the security or integrity of the Service;
  • to comply with law or a valid legal request; or
  • if your Customer ends your access (for example, your agency deactivates your account).

Upon termination, your right to use the Service will stop immediately. Certain provisions of these Terms will survive termination, including Sections 6 (licenses/permissions to the extent necessary for continued operation and legal compliance), 8, 10, 11, and 12.

10. Warranties and Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMECARE PRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMECARE PRO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMECARE PRO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100), OR IF YOU ARE USING THE SERVICE THROUGH A CUSTOMER, THE AMOUNT PAID BY THAT CUSTOMER TO HOMECARE PRO FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICHEVER IS GREATER), UNLESS A DIFFERENT LIMIT IS REQUIRED BY LAW.

12. Dispute Resolution and Governing Law

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Disputes. The parties will attempt in good faith to resolve disputes informally. If unresolved, disputes may be resolved through binding arbitration if required by applicable agreement or law, or otherwise in a court of competent jurisdiction. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property or Confidential Information.

13. Miscellaneous

Assignment. Homecare Pro may assign these Terms to a successor or affiliated company. You may not assign these Terms without our prior written consent, except where permitted by law.

Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

Entire agreement for end-user use. These Terms govern your individual use of the Service. If you use the Service through a Customer, the Customer’s separate agreement with Homecare Pro governs the Customer’s use and payment obligations.

15. Mobile Messaging Program

Program Description – Homecare Pro (“HCP”) may send you SMS or MMS text messages related to onboarding, credential renewals, one-time login codes, and other account or compliance notifications (“Mobile Messages”).

User Opt-In – You agree to receive Mobile Messages when you (a) provide your mobile number during sign-up and (b) tick the checkbox labeled “I agree to receive SMS notifications.” This action constitutes express written consent under the Telephone Consumer Protection Act (TCPA).

Message Frequency – Message frequency varies based on your activity but will not exceed 8 messages per month.

Charges – Message & data rates may apply according to your wireless plan. HCP does not charge a separate fee for Mobile Messages.

Opt-Out – Reply STOP to any Mobile Message to cancel or HELP for help. Upon receipt of a STOP request, we will send a single confirmation text and cease all further Mobile Messages unless you re-opt-in.
